1. INTRODUCTION

Welcome to Nexora English Academy International (“Nexora,” “we,” “us,” or “our”).

These Terms of Service (“Terms”) govern your access to and use of Nexora’s website, online English-language courses, virtual classes, educational programs, learning materials, assessments, student services, digital platforms, and related services (collectively, the “Services”).

By accessing our website, registering for a program, enrolling in a course, making a payment, attending a class, or otherwise using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree with these Terms, you should not register for, purchase, or use our Services.

These Terms constitute an agreement between you (“Student,” “Customer,” “you,” or “your”) and Nexora English Academy International.

2. ABOUT NEXORA

Nexora English Academy International is an online English language education and training institution providing accessible, structured, and practical English-language learning opportunities to students and professionals locally and internationally.

Our Services may include, but are not limited to:

  • General English;
  • Spoken English;
  • Business English;
  • Academic English;
  • Professional English communication;
  • English grammar and vocabulary;
  • Pronunciation and fluency training;
  • Interview preparation;
  • Examination preparation;
  • Private and group online lessons;
  • Workshops and seminars;
  • Assessments and progress evaluations;
  • Digital learning resources and materials; and
  • Other English-language education and training programs developed by Nexora.

The specific Services available may vary from time to time.

3. ELIGIBILITY

You must provide accurate and complete information when registering for our Services.

Where a Student is under the age of legal majority in their country of residence, enrollment and use of our Services must be undertaken with the knowledge and appropriate consent of a parent, guardian, or other legally authorized adult.

You are responsible for ensuring that the information provided to Nexora remains accurate and up to date.

Nexora reserves the right to refuse, suspend, or terminate enrollment where information provided is materially false, misleading, fraudulent, or otherwise inconsistent with these Terms.

4. REGISTRATION AND STUDENT ACCOUNTS

Certain Nexora Services may require registration or the creation of a student account.

You agree to:

  • Provide truthful, accurate, current, and complete information;
  • Maintain the confidentiality of your account credentials;
  • Take reasonable steps to prevent unauthorized access to your account;
  • Notify Nexora promptly if you suspect unauthorized use of your account; and
  • Accept responsibility for activities conducted through your account, except where caused by Nexora’s own negligence or failure to maintain reasonable security.

You must not create an account using another person's identity or information without proper authorization.

Nexora may suspend or terminate an account where there is reasonable evidence of fraud, abuse, unauthorized access, or violation of these Terms.

5. COURSE ENROLLMENT

Enrollment becomes effective when:

  • You have completed the applicable registration process;
  • Nexora has accepted your enrollment; and
  • The applicable course fee has been successfully paid or an alternative payment arrangement has been expressly approved by Nexora.

Course availability, start dates, duration, class schedules, lesson formats, and other program details will be communicated through the relevant course information or enrollment materials.

Nexora reserves the right to make reasonable changes to class schedules, instructors, lesson formats, course materials, or delivery methods where necessary to maintain or improve the quality and continuity of the Services.

Where a material change significantly affects a paid program, Nexora will make reasonable efforts to notify affected Students and provide an appropriate solution.

6. ONLINE LEARNING AND COURSE DELIVERY

Nexora primarily provides its educational Services through online and digital learning environments.

Depending on the program, delivery may include:

  • Live virtual classes;
  • Video conferencing;
  • Online assignments;
  • Digital learning materials;
  • Recorded lessons where expressly provided;
  • Online assessments;
  • Email communication;
  • Student portals;
  • Messaging platforms; and
  • Other third-party educational or communication platforms.

Students are responsible for maintaining suitable internet access, compatible devices, software, and a reasonably appropriate learning environment.

Nexora is not responsible for interruptions caused by a Student's internet connection, device, electricity supply, third-party software, or other circumstances outside Nexora's reasonable control.

7. CLASS ATTENDANCE AND PARTICIPATION

Students are expected to attend scheduled classes punctually and participate respectfully and constructively.

Unless otherwise stated for a particular program:

  • Missing a scheduled class does not automatically entitle a Student to a refund or replacement class.
  • Students should notify Nexora as early as reasonably possible if they are unable to attend.
  • Any make-up class, rescheduling, recording, or alternative arrangement is subject to the applicable course policy and availability.
  • Students should complete assigned learning activities within the applicable deadlines.

Nexora may establish specific attendance requirements for particular courses or programs.

8. STUDENT CONDUCT

Nexora is committed to maintaining a safe, respectful, inclusive, and professional learning environment.

Students must not:

  • Harass, threaten, intimidate, or abuse instructors, staff, or other Students;
  • Engage in discriminatory or hateful conduct;
  • Use offensive, obscene, or inappropriate language in a manner inconsistent with a professional learning environment;
  • Disrupt classes or intentionally interfere with another Student's learning;
  • Impersonate another person;
  • Record, reproduce, distribute, or publish classes without appropriate authorization;
  • Share another Student's personal information without permission;
  • Use Nexora's Services for unlawful purposes;
  • Attempt to gain unauthorized access to Nexora systems or accounts; or
  • Engage in conduct that could reasonably damage Nexora's reputation, operations, instructors, Students, or learning community.

Nexora may suspend or terminate a Student's access to Services where serious or repeated misconduct occurs.

9. FEES AND PAYMENTS

All applicable course fees will be communicated before enrollment or payment.

Payments may be processed through payment providers supported by Nexora, including Paystack, or through other payment methods expressly made available by Nexora.

By submitting a payment, you authorize the applicable payment provider to process the transaction for the amount displayed at checkout or otherwise communicated to you.

Nexora does not directly store complete payment-card information where payment processing is handled by a third-party payment provider.

Students are responsible for reviewing the course name, applicable fee, currency, and other transaction details before completing payment.

A payment confirmation does not necessarily mean that a course has commenced. Course access and enrollment remain subject to the applicable program's enrollment requirements.

10. INTERNATIONAL PAYMENTS AND CURRENCY

Nexora may accept payments from Students located in different countries.

Where applicable, your payment provider or financial institution may apply currency conversion rates, foreign-exchange charges, international transaction fees, taxes, or other charges.

Such charges may be imposed by your bank, card issuer, payment provider, or other financial institution and may not be controlled by Nexora.

Unless expressly stated otherwise, Nexora is responsible only for the amount and transaction terms communicated by Nexora at the point of purchase.

11. REFUNDS, CANCELLATIONS, AND WITHDRAWALS

Nexora maintains a separate Refund and Cancellation Policy, which forms part of these Terms.

Students should review the Refund and Cancellation Policy before completing payment.

Refund eligibility may depend on factors including:

  • The type of course purchased;
  • Whether the course has commenced;
  • Whether course materials or digital resources have been accessed;
  • The amount of instruction already delivered;
  • The time elapsed since enrollment;
  • The reason for the cancellation; and
  • Any specific refund terms communicated for the particular program.

Unless otherwise expressly stated, payment-processing charges or third-party transaction costs may not be refundable.

Where a refund is approved, Nexora will generally process it using the applicable payment method or another reasonable method permitted by the payment provider.

Nothing in these Terms is intended to exclude or restrict any consumer rights that cannot lawfully be excluded or restricted under applicable law.

12. COURSE MATERIALS AND INTELLECTUAL PROPERTY

All Nexora course materials, educational content, lesson plans, videos, presentations, documents, graphics, branding, logos, website content, assessments, exercises, and other materials provided by Nexora (“Nexora Content”) are owned by Nexora or licensed to Nexora and are protected by applicable intellectual-property laws.

Enrollment grants you a limited, personal, non-exclusive, non-transferable right to access and use Nexora Content solely for your own educational purposes during the applicable period of access.

You must not, without prior written authorization:

  • Copy or reproduce Nexora Content for commercial purposes;
  • Sell, sublicense, distribute, or redistribute course materials;
  • Upload Nexora Content to unauthorized websites or platforms;
  • Share paid course access with another person;
  • Record and distribute classes;
  • Republish Nexora Content;
  • Modify and commercially exploit Nexora Content; or
  • Use Nexora's trademarks, branding, logos, or materials in a way that suggests an unauthorized relationship with Nexora.

Students retain ownership of original work they independently create, subject to any specific rights granted to Nexora for course administration, assessment, accreditation, or related educational purposes.

13. NEXORA BRAND AND TRADEMARKS

“Nexora English Academy International,” together with its logos, names, designs, slogans, and other identifying marks, may constitute trademarks or protected brand assets of Nexora or its licensors.

You may not use Nexora's branding for commercial, promotional, misleading, or unauthorized purposes without prior written permission.

14. ASSESSMENTS AND CERTIFICATES

Where a course includes assessments or certificates, the applicable eligibility requirements will be communicated as part of the relevant program.

Completion of a course or receipt of a Nexora certificate does not automatically constitute accreditation, professional licensing, government recognition, university admission, immigration eligibility, employment eligibility, or recognition by an external institution unless expressly stated by Nexora.

Students are responsible for verifying whether a particular certificate or qualification meets the requirements of an employer, university, government agency, professional body, immigration authority, or other third party.

Nexora does not guarantee employment, admission, promotion, immigration approval, examination results, or any other outcome based solely on participation in or completion of a course.

15. EDUCATIONAL OUTCOMES

Nexora is committed to providing quality English-language education and reasonable learning support.

However, language-learning outcomes vary between individuals.

Results may depend on factors including:

  • Existing English proficiency;
  • Attendance;
  • Practice and participation;
  • Study time;
  • Individual learning ability;
  • Completion of assignments;
  • Access to appropriate technology; and
  • Consistent engagement with the course.

Nexora therefore does not guarantee a particular level of proficiency, examination score, employment outcome, or other specific result unless expressly guaranteed in writing for a particular program.

16. THIRD-PARTY PLATFORMS AND SERVICES

Nexora may use third-party platforms and service providers to deliver certain aspects of its Services, including payment processing, video conferencing, email communication, learning management, hosting, scheduling, analytics, or customer support.

Examples may include payment processors and online communication or educational platforms.

Your use of a third-party service may also be subject to that provider's own terms and privacy policies.

Nexora is not responsible for the independent policies, security practices, availability, or performance of third-party services, except to the extent required by applicable law.

17. PRIVACY AND DATA PROTECTION

Nexora respects the privacy and security of its Students and website visitors.

Our Privacy Policy explains what personal information we collect, why we collect it, how we use it, how we protect it, when it may be shared, and the rights available to individuals under applicable data-protection laws.

By using Nexora's Services, you acknowledge that your personal information may be processed in accordance with our Privacy Policy.

Where Nexora uses third-party payment services such as Paystack, the relevant provider may independently process transaction and payment information in accordance with its own privacy and data-protection practices.

Nexora will handle personal information in accordance with applicable privacy and data-protection requirements. Ghana's Data Protection Commission identifies the Data Protection Act, 2012 (Act 843) as the legislation governing the protection and lawful processing of personal data in Ghana.

18. WEBSITE USE

You agree to use the Nexora website lawfully and responsibly.

You must not:

  • Attempt to compromise the security of the website;
  • Introduce malicious software or harmful code;
  • Interfere with website functionality;
  • Attempt unauthorized access to systems or databases;
  • Scrape or reproduce substantial portions of the website without authorization;
  • Use the website for fraudulent purposes; or
  • Use the website in violation of applicable laws.

Nexora reserves the right to restrict or terminate access to users who violate these requirements.

19. WEBSITE CONTENT AND ACCURACY

Nexora makes reasonable efforts to ensure that information published on its website is accurate and current.

However, course descriptions, schedules, instructors, prices, availability, and other information may change from time to time.

Nexora reserves the right to correct errors, update information, modify programs, or discontinue Services where reasonably necessary.

Where a Student has already paid for a program materially affected by such a change, Nexora will make reasonable efforts to provide appropriate notice and an appropriate remedy consistent with applicable law and the applicable course policy.

20. AVAILABILITY OF SERVICES

Nexora aims to provide reliable access to its online Services but does not guarantee that the website, online classes, learning platforms, or other digital Services will always be available without interruption.

Services may occasionally be unavailable due to:

  • Scheduled maintenance;
  • Technical problems;
  • Internet or telecommunications failures;
  • Cybersecurity incidents;
  • Third-party platform outages;
  • Power interruptions;
  • Natural disasters;
  • Government action; or
  • Other circumstances beyond Nexora's reasonable control.

Where reasonably possible, Nexora will take appropriate steps to restore affected Services.

21. FORCE MAJEURE

Nexora will not be responsible for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.

Such circumstances may include natural disasters, epidemics or pandemics, war, civil unrest, governmental restrictions, strikes, telecommunications failures, widespread internet outages, power failures, cyber incidents, or failures of essential third-party service providers.

Where such circumstances materially affect a paid program, Nexora will make reasonable efforts to provide an alternative arrangement, reschedule affected services, extend access, or otherwise provide an appropriate solution.

22. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Nexora will not be liable for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of its Services.

Nexora's liability will not be excluded or limited where doing so would be unlawful.

Nothing in these Terms limits liability for matters that cannot legally be limited or excluded under applicable law.

Where permitted by law, Nexora's total liability arising from a particular paid Service will not exceed the amount actually paid by the affected Student for that Service.

23. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Nexora, its officers, employees, instructors, representatives, and authorized service providers from claims, losses, liabilities, damages, and reasonable expenses arising from:

  • Your unlawful use of the Services;
  • Your violation of these Terms;
  • Your infringement of another person's intellectual-property or other rights; or
  • Your fraudulent or intentionally wrongful conduct.

This provision does not apply to the extent that a claim results from Nexora's own unlawful conduct, negligence, or other liability that cannot legally be transferred to you.

24. SUSPENSION OR TERMINATION

Nexora may suspend or terminate your access to its Services where:

  • You materially breach these Terms;
  • You engage in fraud or unlawful conduct;
  • You misuse course materials;
  • You engage in serious misconduct;
  • You compromise the security of Nexora systems;
  • You use another person's account without authorization; or
  • Suspension or termination is reasonably necessary to protect Students, instructors, Nexora, or third parties.

Where appropriate and legally required, Nexora may provide notice and an opportunity to remedy the violation before termination.

Termination does not affect rights or obligations that by their nature should continue after termination, including intellectual-property, payment, dispute-resolution, and confidentiality provisions.

25. COMMUNICATIONS

By registering with Nexora, you agree that we may contact you regarding:

  • Enrollment;
  • Course schedules;
  • Payments;
  • Class updates;
  • Assessments;
  • Account administration;
  • Customer support;
  • Important service announcements; and
  • Other communications necessary to provide the Services.

Marketing communications will be handled in accordance with applicable law and our Privacy Policy.

You may unsubscribe from promotional communications where an unsubscribe mechanism is provided.

26. CUSTOMER SUPPORT

Nexora is committed to providing accessible customer support.

For questions relating to enrollment, payments, classes, refunds, account access, or other Services, Students should contact Nexora using the official contact details published on the Nexora website.

For payment transactions processed through Paystack, customers may also be required to provide the relevant transaction reference when requesting assistance.

Nexora remains responsible for customer service concerning the educational products and services it sells, while the applicable payment provider is responsible for its own payment-processing services. Paystack's Ghana merchant terms likewise distinguish the merchant's responsibility for the underlying transaction, delivery of services, customer service, and applicable dispute resolution.

27. COMPLAINTS AND DISPUTE RESOLUTION

Nexora encourages Students to contact us directly so that concerns can be resolved efficiently and fairly.

A complaint should include sufficient information to identify the Student, relevant course or transaction, nature of the complaint, and the requested resolution.

Nexora will review complaints in good faith and seek to provide a reasonable response within an appropriate period.

Where a dispute cannot be resolved informally, it may be referred to the appropriate dispute-resolution mechanism or competent authority in accordance with applicable law.

28. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Ghana, except to the extent that applicable mandatory consumer-protection or other laws in a Student's country of residence provide otherwise.

Nothing in these Terms is intended to deprive a consumer of mandatory legal rights that cannot lawfully be waived.

29. INTERNATIONAL STUDENTS

Nexora welcomes Students from different countries and seeks to make its online educational Services accessible internationally.

International Students are responsible for ensuring that their use of the Services and payment for the Services complies with the laws applicable to them.

Nexora does not provide immigration, visa, legal, tax, employment, or professional advice unless expressly stated.

30. CHANGES TO THESE TERMS

Nexora may update these Terms from time to time to reflect changes in its Services, business practices, technology, applicable laws, or regulatory requirements.

The updated version will be published on the Nexora website with a revised “Last Updated” date.

Where a material change substantially affects existing Students, Nexora will take reasonable steps to communicate the change where appropriate.

Your continued use of the Services after an updated version becomes effective constitutes acceptance of the revised Terms, to the extent permitted by law.

31. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it lawful and enforceable.

If modification is not possible, the affected provision shall be severed, and the remaining provisions shall continue in full force and effect.

32. NO WAIVER

A failure or delay by Nexora to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision or any other provision in the future.

33. ENTIRE AGREEMENT

These Terms, together with the Nexora Privacy Policy, Refund and Cancellation Policy, applicable course-specific terms, and other policies expressly incorporated into these Terms, constitute the agreement governing your use of Nexora's Services.

Where a specific course or program has additional terms that conflict with these general Terms, the specific course terms will apply to the extent of the conflict.

35. ACCEPTANCE

By accessing the Nexora website, registering for an account, enrolling in a course, making a payment, or using any Nexora Service, you confirm that you have read, understood, and agreed to these Terms of Service.
